Task Away Virtual Assistants, LLC Terms of Service
1. Services Offered
Task Away Virtual Assistants, LLC (hereafter referred to as “Task Away VA”) provides virtual assistant services based in the United States. Our virtual assistants (VAs) offer administrative support to clients across various tasks and industries.
2. Pricing and Billing
- Clients are matched with a virtual assistant who will provide administrative tasks.
- Clients are charged hourly for each minute the virtual assistant works on their account.
- Billing occurs weekly. Clients will receive an invoice along with a copy of their VA’s hours worked for clarity.
- All charges are in US dollars.
- Payment types accepted: ACH, Visa, Mastercard, Discover, American Express
3. Payment Terms
- Clients must provide a credit card on file (mandatory).
- By submitting client paperwork, clients authorize Task Away VA to charge their credit card for outstanding balances.
- Clients may pay invoices on their own before the due date to avoid automatic charges.
- All late invoices incur a $25 late fee.
- A non-refundable startup fee is due when the VA begins working on the client’s account.
4. VA Availability and Replacement
- VAs are available Monday through Friday, 8 AM to 5 PM in the client’s time zone.
- Task Away VA cannot guarantee VA availability outside these hours or on weekends.
- If a client’s regular VA is unavailable, a replacement VA will be provided with limited capabilities (taking/relaying messages and answering incoming calls).
5. Non-Solicitation and Direct Hire
- VAs are not available for direct hire by clients.
- Clients interested in directly hiring their VA must contact Task Away VA to negotiate a buyout option.
- A $5,000 referral fee will be charged for any client caught attempting to solicit our VAs directly.
6. Cancellation and Refunds
- Clients may cancel their service at any time but are responsible for paying all open invoices in full.
- Task Away VA offers a 100% customer satisfaction guarantee.
- Refunds are provided as credits to future invoices in cases where Task Away VA determines that a VA did not use their time wisely.
- No cash refunds are guaranteed.
7. Intellectual Property
- Any work product created by the VA and paid for by the client becomes the property of the client.
- Task Away VA retains ownership of any proprietary tools, methods, or materials shared with the client during the course of service.
8. Limitation of Liability
Task Away VA’s liability to the client for any cause whatsoever, regardless of the form of the action, will at all times be limited to the amount paid, if any, by the client to Task Away VA for the specific services that directly resulted in the damages claimed. In no event will Task Away VA be liable for any consequential, indirect, special, punitive, or incidental damages or lost profits, whether foreseeable or unforeseeable, based on claims of the client or any third party arising out of any breach or failure of express or implied warranty conditions, breach of contract, misrepresentation, negligence, strict liability in tort, or otherwise.
9. Confidentiality
Task Away VA and its VAs agree to maintain the confidentiality of all client information. VAs sign a Non-Disclosure Agreement (NDA) upon commencement of their employment with Task Away VA. Clients are assured that their sensitive business information will be protected and not shared with unauthorized parties.
10. Termination
Task Away VA reserves the right to terminate services immediately and without notice if:
- A client attempts to directly hire or “steal” a VA.
- A client has more than 4 open, unpaid invoices.
- A client exhibits unreliable communication, preventing the VA from reaching them in a timely manner.
- A client makes disparaging remarks to the VA, as interpreted by the VA.
- A client makes disparaging remarks to any Task Away VA personnel.
- Task Away VA becomes aware of rude or disparaging comments about Task Away VA made online by the client.
11. Privacy Policy
Task Away VA is committed to protecting your privacy. We collect and process personal data solely for the purpose of providing our virtual assistant services. We do not sell or share your personal information with third parties except as necessary to fulfill our services or as required by law. 12. Updates to Terms of Service
Task Away VA reserves the right to modify these Terms of Service at any time. We will review and update these terms annually, and any changes will be communicated to clients via email. Continued use of our services after such modifications will constitute acknowledgment and agreement of the modified terms.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of [insert applicable state], United States. Task Away VA does not offer services to clients based in the European Union and is not subject to GDPR regulations.
